Terms & Conditions of Trade Reward Scheme

These are the terms and conditions (Terms) on which cmostores.com shall make available the cmotrade rewards scheme (Rewards Scheme) to youThe Rewards Scheme has been established exclusively for cmostore.com trade account customers only (the Participants).

Any reference to cmostores.com, we, us, and our shall mean cmostores.com Limited, a company registered in England and Wales under Company Number 06755395 whose registered office is Burrington Business Park, Burrington Way, Plymouth, England, PL5 3LX. You may contact us by writing to our registered office above or by email at rewards@cmotrade.co.uk; by telephone on 01752 692769; or via www.cmostores.com/cmotrade (the Website) (altogether our Contact Details).

Any reference to these Terms shall include the Website Terms of Use, the Privacy Policy, and the Cookie Policy, all of which are available through the Website as amended from time to time. We reserve the right to alter or amend these Terms or the Rewards Scheme at any time.  If we amend the details of the Rewards Scheme or the Terms we will contact you to notify you of these changes.  You may withdraw from the Rewards Scheme at any time.

1.         Your Account and Registration

1.1.      The Rewards Scheme is made available for free to Participants only. In the event your cmostore.com trade account is terminated for any reason, your entitlement to the Rewards Scheme (and any reward that may be due to you) shall end. We reserve the right to withdraw your entitlement to the Rewards Scheme at any time and we do not guarantee that you will receive any particular reward in any event.

1.2.      Participants must register to benefit from the Rewards Scheme. To register you must supply us with your cmostore.com trade account details and a separate Rewards Scheme account shall be setup for you (Your Account). You must ensure that the details of Your Account match the details of your cmostores.com trade account to receive a Reward. We shall not be liable to you in the event you register with the incorrect details and your spending is allocated to the wrong account or has not been allocated to you through your own negligence.

1.3.      Should you appoint an employee or agent to operate Your Account, you must notify us of their details (Key Persons) and only Key Persons noted on Your Account will be granted access. You and any Key Persons are responsible for keeping Your Account details safe and you must not disclose Your Account details to any other third party.

1.4.      If you wish to associate Your Account with a different cmostores.com trade account or register multiple Key Persons at any time please contact us on the Contact Details above. Please note that only one registration per Participant will be accepted including companies in the same group. Duplicate accounts may be rejected, merged or terminated at our discretion.

1.5.      Acceptance of your registration will occur when we email you to confirm that we have set up Your Account (Confirmation Email). Once you receive the Confirmation Email you will be bound by these Terms and a binding contract will exist between us. If for any reason your application to register for the Rewards Scheme cannot be accepted, we will inform you of this on the contact details provided. Please note we may accept or reject applications entirely at our discretion.

1.7       By registering for the Rewards Scheme, you warrant that:

a)         you have read and accept these Terms;

b)         all information given by you at registration is true, current, accurate and complete and that you will maintain such information throughout the contract;

c)         you are a business and have the continuing authority to act on its behalf; and

d)         you are 18 or over.

1.8       By participating in the Rewards Scheme, you confirm that you will accept marketing materials from us via SMS or email (Marketing), which includes Marketing regarding the Rewards Scheme. All Marketing will be conducted in accordance with our Privacy Policy available on our Website. You may opt out of receiving Marketing any time by clicking the ‘unsubscribe’ button on any of the SMS messages and/or emails you receive. Your Personal Data will be processed under contract in accordance with clause 4.

1.9       The Rewards Scheme is only available to Participants based in the United Kingdom.

2           Qualifying Spend

2.1       The Rewards Scheme operates annually from the 1 January to 31 December (inclusive) each year (Qualifying Period). The Qualifying Period on registration will be from the date of the Confirmation Email (pursuant to clause 1.5) to the 31 December of that year. The Qualifying Period will not commence before the registration of Your Account.

2.2       The amount you spend through your cmostores.com trade account (excluding VAT) in cleared funds during the Qualifying Period will be calculated as the qualifying spend on Your Account (Qualifying Spend). Qualifying Spend in any Qualifying Period shall not be carried forward or backdated into any other Qualifying Period and your Qualifying Spend may only be redeemed if your cmostore.com trade account is in credit.

2.3       At the end of the Qualifying Period you will be automatically enrolled onto the next Qualifying Period and your Qualifying Spend will be reset provided you continue to be eligible, or unless you give us notice (at any time) to unsubscribe from the Rewards Scheme.

2.4       In each Qualifying Period, we shall provide you with information regarding Rewards that you may qualify for, together with the target spend required for each Reward (Target Spend). Your Qualifying Spend must reach the Target Spend within the Qualifying Period to qualify for a Reward or Rebate. Details of your current Qualifying Spend is available on request at any time by contacting us on the Contact Details above.

3           Rewards

3.1       Once your Qualifying Spend meets or exceeds the Target Spend in any Qualifying Period, you will be offered a voucher for a Virgin Gift Experience (Reward) or a cmostores.com credit or voucher code (Rebate). We reserve the right to substitute a Reward (for something materially similar) or withdraw a Reward at any time. Rebates may only be used at cmostores.com (including Door Superstore, Drainage Superstore, Insulation Superstore, Roofing Superstore and any other superstores under the cmostores.com group from time to time). Rewards and/or Rebates are not redeemable for cash and may not be transferred to third parties or other cmostores.com accounts.

3.2       All Rewards and Rebates will be calculated at the end of the Qualifying Period and redeemed by us on (or around) the last day of the following February (Redemption Date).

3.3       In the event a refund or credit processed on your cmostores.com trade account before the Redemption Date causes a reduction of your Qualifying Spend below the Target Spend (within the relevant Qualifying Period), the value of the Reward or Rebate issued to you may be set off against the amount of credit or refund due on your cmostores.com trade account.

3.4       From time to time, we may run promotions or competitions that may issue “bonus” Qualifying Spend to successful Participants. We shall notify you of such promotions or competitions and successful Participants will be have their first name and location published on our Website and social media channels. By entering into such promotions or competitions you consent to have your personal data processed in this way and agree to take part in any further Marketing activity as may be required.

4           Data Protection

4.1       In this clause 4 Controller, Processor, Sub Processor, Data Subject, and Personal Data, shall have the meaning set out in the Data Protection Legislation, meaning all applicable data protection and privacy legislation in force from time to time in the UK including the General Data Protection Regulation ((EU) 2016/679); the Data Protection Act 2018; the Privacy and Electronic Communications Directive 2002/58/EC (as updated by Directive 2009/136/EC) and the Privacy and Electronic Communications Regulations 2003 (SI 2003/2426) as amended.

4.2       cmostores.com will comply with all applicable requirements of the Data Protection Legislation. This clause 4 is in addition to, and does not relieve, remove or replace, a party's obligations or rights under the Data Protection Legislation.

4.3       For the purposes of the Data Protection Legislation, cmostores.com is the Controller and the cmostores.com trade reward team are the Processor. The Participants (including Key Persons) are the Data Subjects. In relation to operating the Rewards Scheme, cmostores.com will only process your personal data:

a)         for the administration and Marketing of the Rewards Scheme, including providing updates to Your Account and information relating to incentives that may be available to you (Purpose);

b)         in accordance with our privacy policy (Scope); and

c)         for the duration of the contract (Duration).

4.4       We shall only process your name, business name, address, date of birth and contact details (Your Personal Data). By entering into these Terms you agree that we may process Your Personal Data in accordance with the Purpose, Scope and Duration listed in clause 4.3 under contract. You further acknowledge that clause 4.3 constitutes the written instruction for processing Your Personal Data. If you do not agree to us processing Your Data for this Purpose, you will be unable to partake in the Rewards Scheme.

4.5       Our Privacy Policy further sets out the information that cmostores.com will gather on Participants and Key Persons, how this information will be used and who it may be shared with. Please ensure you carefully read the latest version of the Privacy Policy. If a Participant notifies cmostores.com that they do not wish to receive the Marketing or have their Personal Data processed for the Purpose above, cmostores.com will comply with such request and notify all relevant Sub Processors and third parties.

5           Limitation of Liability

5.1       Nothing in these Terms limits any liability which cannot legally be limited, including liability for:

a)         death or personal injury caused by negligence;

b)         fraud or fraudulent misrepresentation; and

c)         breach of the terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession).

5.2       Subject to Clause 5.1 (liabilities which cannot legally be limited), our total liability to Participants, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with these Terms shall be nil.

6           Additional Terms

6.1       We are not responsible for any third party websites that are made available to you as part of the Rewards Scheme, nor for any product information or services (including Rewards) supplied through, or in connection with, such third party websites.

6.2       We will not be liable for any failure to perform, or delay in performance of our obligations under these Terms that are caused by an event outside of our control. An event outside of our control means any act or event beyond our reasonable control including (without limitation) strikes, industrial action by third parties, civil commotion, terrorist attack, riot, invasion, fire, storm, flood, earthquake, epidemic or other natural disaster. We reserve the right to vary the Terms or cancel or suspend the Rewards Scheme at any time due to an event outside of our control.

6.3       We may transfer our rights and obligations under these Terms to another organisation, but this will not affect your rights or our obligations under these Terms. You may not transfer your rights or your obligations under these Terms to another business without our express prior written consent.

6.4       This contract is between you and cmostores.com. Except for you, us and other third parties which supply Rewards for the Rewards Scheme, no other person or entity shall have any rights to enforce any of its terms.

6.5       Each clause of these Terms operates separately. If any court or relevant authority decides that any clause is unlawful or unenforceable, the remaining clauses will remain in full force and effect.

6.6       If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.

6.7       This contract and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. All parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this contract or its subject matter or formation (including non-contractual disputes or claims).
